1. General Provisions

These Terms of Service ("Terms") govern the use of services provided by Codens ("Company"), including Red Codens, Blue Codens, Green Codens, Yellow Codens, and other Codens-related services (collectively, the "Service").

By using the Service, you ("User") agree to be bound by these Terms.

2. Definitions

The following terms used in these Terms shall have the meanings set forth below:

  1. "Service" refers to all AI development automation services provided by the Company.
  2. "User" refers to any individual or entity that agrees to these Terms and uses the Service.
  3. "Account" refers to the registration information created by the User to use the Service.
  4. "Content" refers to any information, data, source code, or other materials that the User submits, uploads, or creates through the Service.

3. User Registration

  1. Anyone wishing to use the Service shall apply for registration through the method specified by the Company.
  2. The Company may refuse registration if it determines that the applicant falls under any of the following:
    • Providing false information during registration
    • Being a person who has previously violated these Terms
    • Any other reason deemed inappropriate by the Company
  3. Users shall promptly update their registration information if there are any changes.

4. Prohibited Activities

Users shall not engage in any of the following activities when using the Service:

  1. Acts that violate laws or public order and morals
  2. Acts related to criminal activities
  3. Acts that infringe on the intellectual property rights of the Company or third parties
  4. Acts that destroy or interfere with the servers or network functions of the Company or third parties
  5. Commercial use of information obtained through the Service (except where permitted by the Company)
  6. Acts that may interfere with the operation of the Service
  7. Unauthorized access or attempts thereof
  8. Impersonating other users or third parties
  9. Acts that directly or indirectly provide benefits to antisocial forces in relation to the Service
  10. Using the Service to generate or distribute malware or malicious code
  11. Any other acts deemed inappropriate by the Company

5. Service Interruption and Suspension

  1. The Company may interrupt or suspend all or part of the Service without prior notice to Users if it determines that any of the following applies:
    • Maintenance or updates of the Service system
    • Provision of the Service becomes difficult due to force majeure such as earthquakes, lightning, fires, power outages, or natural disasters
    • Computer or communication line failures
    • Any other situation where the Company determines that provision of the Service is difficult
  2. The Company shall not be liable for any damage incurred by Users or third parties due to interruption or suspension of the Service.

6. Intellectual Property Rights

  1. Copyrights, trademarks, and other intellectual property rights related to the Service belong to the Company or legitimate rights holders.
  2. Intellectual property rights of Content uploaded by Users through the Service remain with the Users.
  3. Users may use AI-generated outputs (fix code, test cases, PRDs, etc.) created through the Service within the scope of their use of the Service.

7. Disclaimer

  1. Given that the Service includes AI-powered automatic generation features, the Company does not guarantee the accuracy, completeness, legality, or safety of deliverables generated by the Service (fix code, test cases, PRDs, etc.).
  2. Users shall verify and validate the content of deliverables generated by the Service at their own responsibility before use.
  3. Except in cases of intentional misconduct or gross negligence by the Company, the Company shall not be liable for any damages incurred by Users through the use of the Service.
  4. The Company shall not be responsible for any transactions, communications, or disputes between Users and third parties.

8. Fees and Payment

  1. Users shall pay the usage fees separately determined by the Company for paid portions of the Service.
  2. Payment methods shall be as specified by the Company.
  3. If Users delay payment of usage fees, they shall pay late payment damages at an annual rate of 14.6%.

9. Changes to Terms of Service

  1. The Company may change these Terms without prior notice to Users when deemed necessary.
  2. Changed Terms shall take effect upon posting on the Company's website.
  3. If Users use the Service after changes to these Terms, they shall be deemed to have agreed to the changed Terms.

10. Governing Law and Jurisdiction

  1. These Terms shall be governed by and construed in accordance with the laws of Japan.
  2. The Tokyo District Court shall have exclusive jurisdiction of first instance over any disputes arising in connection with the Service.
